General Counsel Responsibilities: Report to CEO and be an integral part of a small, senior management team. Will lead the legal efforts at a consumer-facing and market-leading renewable energy company where excellent legal capabilities are core to business success. Lead the legal efforts arising from company's financing activities, particularly project financing efforts, including working capital facilities, term debt, tax equity, and equity capital. Work closely with our Vice President of Legislative and Regulatory Affairs, particularly as respects energy regulatory matters. Oversee the negotiation and management of company's engineering, procurement and construction contracts. Develop and manage company's customer contracts as well as conform them to state and local rules. Understand all aspects of company's business in order to perform the role of "issue spotter" to identify potential legal issues, assess the potential legal risk and mitigate where necessary and provide legal guidance to senior management to support growth strategies. Manage all of company's intellectual property rights and identify potential intellectual property rights that should be created. Develop and manage a compliance program to ensure that company's activities meet regulations and mitigate risks; provide compliance program communication and training to employees. Work with company's operations team and outside risk management consultant to establish and maintain proper insurance coverage as required. Maintain and manage all of company's corporate legal documents, including minutes, Investors' Rights Agreement, and stock bonus plans. Ensure that company has the proper business licenses in all of the states in which it operates, whether company has employees there or simply a "business presence". Handle all other miscellaneous legal issues as arise (real property leases, employment agreements, general tax matters). Perform all other activities typical of the general counsel at a fast growing company.
Qualifications: A J.D. degree and able to practice in California. 8-10 years of experience in practicing law with emphasis in advising businesses in a wide variety of matters; previous service as a general counsel with a strong background in finance, energy, or tax law. Ability to manage multiple outside legal counsel, including expenses. A commercial and practical business mind. Experience with tax law. Ability to manage many projects simultaneously. Proven track record of building rapport among peers and counterparties.
